The terms and conditions governing all research projects undertaken by DataNest Bangladesh.
Proposals and quotations are provided by Datanest Bangladesh at the Client's request and without the agreed payment, remain the property of Datanest Bangladesh and their contents may not be revealed to third parties without Datanest Bangladesh's written permission. We reserve the right to modify a proposal that has been sent to the Client but not been commissioned for a period of thirty days from the date of the proposal.
Datanest Bangladesh only undertakes to carry out that work which is clearly specified in our proposal. Any alterations/additions required by the Client may result in a change in the time required to complete the project as well as the cost of the project.
TIME TAKEN FOR A PROJECT IS COUNTED FROM THE DATE OF COMMENCEMENT OF THE PROJECT. The date of commencement will depend upon Datanest Bangladesh's workload at the time of commissioning and it will be made known to the Client. Datanest Bangladesh will do its utmost to deliver the report in accordance with the timing stated in the proposal but cannot be held responsible for any delays occasioned by factors beyond its control for any loss, direct or consequential.
We should be informed of any specific billing requirements at the time of commissioning the study.
Where the client requires the findings to be presented in a specific reporting structure the format needs to be shared with Datanest Bangladesh at the start of the Project. Requests received from the Client to make additions or restructure the report beyond the scope of the proposal will be charged extra.
Datanest Bangladesh will submit estimates to the Client for any research projects that has to be undertaken, together with the bill for the advance. No work of any kind would be carried out on the Project until the Estimate is acknowledged by a purchase order or a formal 'go ahead' mail along with the advance payment.
The detailed estimate of Out-of-Pocket mates to the Client for any research projects that has to be undertaken, together with the bill for the advance. No work of expenses can be provided prior to commissioning the project at the Client's request. Out of Pocket expenses comprise, but are not limited to, special venue hire, expenses on travel and stay and local conveyance for field personnel and researchers, meal allowances, expenses on creating audio visual deliverables, simultaneous translation, printing, courier costs on handling stimulus/ group material, English transcripts and video recording.
Whenever a project is undertaken for a Client based outside Bangladesh, all costs incurred on international phone calls and international airfreighting or couriering of material will be charged extra. This also applies to projects carried out in a foreign country, regardless of whether the Client is based in Bangladesh or abroad.
Where the Client requires additional information/changes incorporated in the estimate or invoice these should be communicated to us within 7 days of receiving such documents.
The final bill is due on submission. Where payment has not been received in accordance with mutually agreed payment terms, we reserve the right to charge a penalty.
Datanest Bangladesh will only accept Tax Deduction at Source (TDS) by the Client where it is against an invoice issued by us or against a payment made to us. We are not agreeable to any TDS deduction on a provisional basis or any excess TDS paid to Government and credited to our account.
The time of briefing for the fieldwork or conducting the fieldwork will be decided by Datanest Bangladesh who reserves the right to change it to meet the exigencies of its business. Should the Client wish to observe the briefing or the fieldwork, or attend the group discussions, the Client should notify Datanest Bangladesh well in advance so that arrangements can be made and the Client can be notified of the relevant dates.
The venue of the fieldwork would be decided by Datanest Bangladesh. Datanest Bangladesh reserves the right to streamline the number and profile of Client/advertising agency representatives sitting in on a unit of fieldwork in the interest of the project.
All product samples, stimulus material, etc. required for the project will be provided by and paid for directly by the Client. In the case of product samples, these will be delivered at the Client's cost to locations specified by Datanest Bangladesh. The Client is responsible for ensuring that all taxes/duties/excise, as required, have been paid on such samples. In the event that the Client fails to do so, he will bear full responsibility for any fines, punishments, legal fees and any loss, direct or consequential arising from such failure. Further, any costs incurred as a consequence of the product samples or stimulus material resulting in a postponement of fieldwork will have to be borne by the Client.
Where the conduct of the project requires any audio or audio-visual equipment Datanest Bangladesh will arrange for its hire and transportation to and from the venue of the fieldwork and charge the Client.
The audio-video recording and all material relating to the fieldwork will be destroyed, unless specified to the contrary by the Client, after the submission of the report. This is done to ensure confidentiality of the Client's data and the respondent's identity.
Datanest Bangladesh will be entitled to destroy records, without reference to Client, one month after completion of the project.
Where a unit of fieldwork scheduled for a particular day does not materialize because participants fail to attend or for any other reason, Datanest Bangladesh will reconvene the unit on another day with a fresh group. In case the number of participants in a group falls below six, Datanest Bangladesh reserves the right to cancel the group or treat this group as a 'mini' group.
In case of cancellation by the Client of the entire project/individual units; cancellation charges as under would be applicable. In such cases the time schedule for the study may also be affected.
Datanest Bangladesh reserves the right to hold all material received from/developed for the Client till the dues relating to the project are cleared.
In case the project cannot be completed on account of legal restrictions or the seizure of product/interviews by an official/semi official agency, Datanest Bangladesh will charge the Client the actual costs as well as the legal and other costs incurred directly in connection with the project and any consequent expenditure.
